By accessing or using Voquii (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Description of Service

Voquii provides AI-powered website chatbots and knowledge assistants that analyze website content and respond to user inquiries. The Service may include crawling, indexing, embeddings, storage, analytics, and AI-generated responses.

3. Eligibility

You must be at least 18 years old to use the Service. By using Voquii, you represent that you have the legal authority to enter into these Terms.

4. User Responsibilities

You agree to:

  • Use the Service lawfully
  • Ensure you have rights to any content you submit
  • Not misuse, abuse, or reverse-engineer the Service
  • Not attempt to bypass security, rate limits, or safeguards
  • Not use the Service for illegal, harmful, or deceptive purposes

5. Content Ownership

Your Content

You retain ownership of content you provide, including website data, documents, and chatbot prompts.

License to Voquii

You grant Voquii a limited, non-exclusive license to:

  • Process, store, index, and analyze your content
  • Generate responses and embeddings
  • Improve Service performance and reliability

We do not claim ownership of your original content.

6. AI Output Disclaimer

AI responses are generated automatically and may be inaccurate, incomplete, or outdated. You agree not to rely on Voquii for:

  • Legal advice
  • Medical advice
  • Financial advice
  • Safety-critical decisions

You are responsible for reviewing outputs before acting on them.

7. Acceptable Use

You may not use Voquii to:

  • Generate or distribute harmful or illegal content
  • Violate intellectual property rights
  • Mislead users or impersonate others
  • Harvest personal data without consent
  • Perform surveillance or profiling unlawfully

8. Data Processing & Storage

We may store:

  • Website content you connect
  • User messages
  • Chat logs
  • AI embeddings
  • System metadata

Data handling is governed by our Privacy Policy.

9. Service Availability

We aim to provide reliable uptime but do not guarantee uninterrupted service. We may modify or discontinue features at any time.

10. Payment & Billing

If you subscribe to paid plans:

  • Fees are billed in advance
  • Refunds are subject to our billing policy
  • Abuse may result in suspension without refund

Voice Minutes & Usage-Based Billing

A “Billable Voice Minute” is defined as the duration of time a Voice Connection is active between the User and the AI, regardless of who is speaking. It includes:

  • Listening Time (voice activity detection)
  • Processing Time (AI thinking)
  • Speaking Time (text-to-speech output)

Billing is rounded up to the nearest 30 seconds. Each plan includes a monthly voice minute allocation. Usage beyond your plan's allocation is billed at the applicable overage rate ($0.05 per minute for Pro and Agency plans). Free plan users cannot exceed their allocation.

11. Termination

We may suspend or terminate accounts for:

  • Violations of these Terms
  • Abuse or misuse
  • Legal or security risks

You may cancel your account at any time.

12. Limitation of Liability

To the maximum extent allowed by law, Voquii is not liable for:

  • Lost revenue
  • Business interruption
  • Incorrect AI output
  • Indirect or consequential damages

Our total liability will not exceed the amount paid in the last 12 months.

13. Indemnification

You agree to indemnify and hold harmless Voquii from claims arising from your misuse of the Service.

14. Modifications

We may update these Terms at any time. Continued use constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the United States and the state in which Voquii is registered.
